Job Description:GRA (Governance, Risk and Assurance) plays a critical role to ensure compliant business processes & operations for Hazira LNG & Port companies. Principal owner of the overall risk management framework for Hazira companies conducting quarterly/annual risk management reviews across HSSE; LNG Terminal Operations; Port Operations; Marketing & Commercial; Projects; Finance; HR and Legal functions2. Develop & deliver the annual assurance plan for Hazira companies that effectively mitigates risks identified in various functions via the corporate risk management framework through a combination of Line of Defense (LOD) 1/2/3 audits in various functions, as well as various Statutory Audits like The International Ship and Port Facility Security (ISPS) Code for Port Operations; various ISO Certifications for Port/Terminal Operations; Financial Controls and various Tax audits (GST, Transfer Pricing and VAT)3. Liaise with all departments/functions listed above to monitor and track implementation of action items from various audits and internal reviews4. Lead the preparation of the annual Business Assurance Letter (BAL) for Hazira companiesto provide assurance on effectiveness of controls in the business5. Implement a control framework to ensure that all business decisions; contractinglevels; operational expenditure and investments are fully compliant to the Shell Manual of Authority at both Organizational and Corporate levels, especially as Hazira transitions from a NOV to SOV6. Focal point for assurance on the Ethics and Compliance framework for Hazira companies, including assurance/ training on Code of Conduct; Anti-Bribery & Corruption (ABC) trainings, etc7. Support digitalization efforts at Hazira with development/deployment of new risk management tools like Easy Risk Software; tools for compliance to control framework such as Greenlight, etc.8. Independently ensure that a proper functioning control framework is in place and that risks are properly understood, reflected and managed9. Independently ensure value and risks are made transparent and understood in both decision making and in performance management as well as ensuring a fit for performance management system is in place.10. Actively look for opportunities to reduce non-value adding Finance activity (“demandmanagement”) and implement Continuous Improvement and ESSA, in delivery of processes.DIMENSIONS:Until Dec 2018, Hazira LNG & Port was a joint venture between Shell Gas B.V (74%) and TotalGaz Electricité Holdings France (26%), established under two separate Indian entities - Hazira LNG Pvt Ltd (HLPL) and Hazira Port Pvt Ltd (HPPL). Shell has recently acquired the the Total Stakes and now owns 100% of Hazira Equity.This entails substantial change management from “Non Operated Joint Venture” (NOV) ways of working to “Shell Operated Venture” (SOV) ways of working. Hazira has a capitalisation of $700 Mln. Current annual revenues aggregate circa $150 mln, with a Net Income of circa $30mln. Hazira Companies operate a 5 mtpa LNG regassification terminal and a multi-cargo port at Hazira, Gujarat since 2005. JV currently manages bespoke legacy IT systems. In addition to acquiring Total, Hazira Group of Companies will also subsume the Shell Energy business. This will entail a change in revenue management systems. And there is an intention to move over to standard Shell ERP systems. The finance advisor will manage the significant value at risk, currently at 50m, in the asset, providing risk advisory support tracking and surfacing the risk opportunities through laid out governance processes and making certain the risks are reduced and mitigated.Ensure full compliance to MoA for all contracting & procurement activities with operating costs at circa $50 mln/ annum and investment decisions for brownfield projects ~ $25mln Determining the Cumulative Value at Risk for the business, across various tax, legal and othercontingent liabilities ~ currently at ~$50mKey Challenges1. Developing a close interface with all disciplines across the business - HSSE; LNG Terminal Operations; Port Operations; Marketing & Commercial; Projects; Finance; HR and Legal functions to manage both risks & assurance processes2. Direct interface with Hazira Leadership Team members to track risks & opportunities against core business objectives and follow up tracking on close out of audit action items3. Developing a composite view on the Cumulative Value at Risk for the business from various tax, legal and other contingent liabilities4. Conducting the affairs of the multidisciplinary Business Assurance Committee chaired by the Managing DirectorSkills Required:1. Qualified Chartered Accountant and Company Secretary for handling regulatory compliances of a company secretary under the Companies Act.2. Strong communication skills and ability to conduct Board and Shareholder Meetings.3. Ability to apply a risk-based, practical approach to problem solving4.
